Thank you for visiting the OnlineFabricStore.com Web site (the "Site") which is owned and operated by Osgood Textile Company, Inc. ("we," "us," "our"). We want you, as a visitor to the Site ("you") to have a positive experience, so we have established the following terms and conditions so that we and you know what to expect from each other when you interact with our Site. By using the Site you agree to be bound by these Terms of Use. We may make changes to the Site, these Terms of Use, or the policies and conditions that govern the use of the Site at any time. We encourage you to review the Site and these terms periodically for any updates or changes. Your continued access or use of the Site shall be deemed your acceptance of these changes.

About Our Products

All fabrics sold on our Site are first quality unless otherwise noted.

Important: Please examine material carefully for color, quality, and yardage. No claims will be allowed after material has been cut.

All prices and costs are displayed in US dollars.

We will happily order any fabric that you do not see on our website. With one of the largest inventories in the country, it is likely that we already have your fabric in-stock. Please submit a fabric quote or contact us directly.

On most fabrics, the minimum order is one yard.

Please be aware that every monitor displays colors differently. Samples can be ordered for clarity.

We do not guarantee dye lot, and variations in fabrics can occur.

We reserve the right to refuse orders submitted with incomplete information.

All pricing on our Site is valid only on orders placed through the website.

Despite our best efforts, the Site may contain errors, inaccuracies, or omissions, including in pricing, availability, descriptions, promotions, shipping and specifications. We reserve the right to correct any errors and to change or update information at any time without prior notice, including after you have submitted an order. We may refuse, cancel, or limit any order in our sole discretion, including orders affected by errors, suspected fraud, abuse, or unauthorized activity. If your payment has already been processed, we will immediately issue a refund in the amount paid, which shall be your sole remedy.

Except as expressly stated, product descriptions, images, colors, specifications, and availability are provided for informational purposes only and are not guarantees. Variations in color, texture and finish are inherent in textile products and do not constitute defects. You assume all responsibility and suitability, use and application of purchased materials.

Shipping

The shipping rate for your order is calculated at checkout and is based on the weight and destination of your items. See our  shipping policy  for complete details.

Risk of loss and title pass to you upon delivery to the carrier. We are not responsible for delays, losses, or damages caused by carriers, customs, weather, labor issues, or events beyond our reasonable control. 

Return Policy

Your satisfaction is important to us!

Any customer who is dissatisfied with a purchase may return the item(s) and receive a refund subject to this return policy. All returned items must be uncut and in original, unused, and unaltered condition. Returns must be received within 30 days of original ship date. Any claims regarding an order must be made within 30 days of shipment.

To ensure proper credit of your return, please contact OFS Customer Service and we will happily assist you. All returns require a return authorization number that will be provided to you if your purchase qualifies for return. You will be responsible for the return shipping costs. You may send back the item(s) through a carrier of your choice. Refunds are typically issued 5-7 days after the item(s) are received and processed.

Please note:

• Unless we are in error, we do not refund the fee from the selected shipping method included in your order total.
• Any returned wallpaper must be unopened in its original plastic packaging. Once the packaging has been opened, the wallpaper is no longer eligible for return. A 25% restocking fee will be charged for all returned wallpaper that is acceptable for return.
• Items returned to us in non-salable condition will be returned to sender. The customer will be notified via email and no refund will be given. A non-salable condition includes, but is not limited to, items that have been washed, cut, used, marked, soiled, or wrinkled, or items that have absorbed a strong odor.
• It is the customer's responsibility to inspect the item(s) of their order upon receipt to ensure any issues can be resolved within the 30 day return window.
• We reserve the right to require a deposit on any order at our sole discretion.
• We are not responsible for any fees on finished products. The item(s) should be inspected prior to fabrication.

We are not responsible for lost, damaged, misdirected or unauthorized returns. Refunds are limited to the purchase price actually paid, excluding taxes, shipping, and third-party fees, except as required by law.

Clearance Items                                                                                                                                 

Clearance items cannot be restocked. Quantities are limited to the inventory listed on a clearance item and are subject to prior sale. Please note our clearance stock may be made up of multiple pieces of fabric and a continuous piece of fabric is not guaranteed. Despite our best efforts, the inventory may not be 100% accurate by the time the end of the roll is reached, therefore, we cannot guarantee total item availability.

Coupon codes cannot be applied to clearance items unless noted. All clearance items are not returnable.

Clearance items may display a strikethrough price (or "Original Price"). The Original Price may reflect the price at which the product was previously sold by us or may be a manufacturer’s suggested retail price ("MRSP"). The Original Price may not necessarily reflect the product's prevailing market price. If comparing prices is important to your purchase decision, you should do you own comparison prior to making a purchase.

Coupons and Promotions

From time to time, we may offer coupons or other promotions. Valid coupon or promotion codes may be applied in your cart or during checkout. Codes cannot be applied to clearance items unless noted. Codes cannot be applied to previous purchases, are limited to one code per order and are valid on gift cards. Other terms and conditions may apply as stated with the coupon or promotion.

Privacy

Please review our Privacy Policy which is incorporated into these Terms of Use by reference and governs how we collect, use, share, retain, and protect your information. By using the Site, you acknowledge and agree that your data will be processed as described in our Privacy Policy, including the creation and use of de-identified and aggregated data for lawful business purposes.

When you visit the Site, use our on-line chat feature, or send emails to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by email or by posting notices on this site, or may respond to you during chat sessions. You agree that all agreements, notices, disclosures and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

OnlineFabricStore™, OFS™ and "Where Great Ideas Begin with Fabric"™ are trademarks of OnlineFabricStore/Osgood Textile Company, Inc. Use of our trademarks for commercial purposes without our express prior written consent is prohibited and may constitute trademark infringement and unfair competition in violation of federal and state laws. All other trademarks, product names, and company names and logos appearing on the Site are the property of their respective owners.

Your Account Obligations

In consideration of your use of the Site, you agree to: (1) provide true, accurate, current and complete information about yourself as prompted by the checkout form for your account information (the "Account Information") and in your communications with us; and (2) maintain and promptly update the Account Information to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, we may suspend or terminate your account and refuse any and all current and future use of the Site. MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SITE, CONTENT, AI FEATURES OR THE PRODUCTS SOLD ON THE SITE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONLINEFABRICSTORE.COM/OSGOOD TEXTILE COMPANY, INC. Export

The U.S. export control laws regulate the export and re-export of technology originating in the United States. This includes the electronic transmission of information and software to foreign countries and to certain foreign nationals. You agree to abide by these laws and their regulations – including but not limited to the Export Administration Act and the Arms Export Control Act and not to transfer, by electronic transmission or otherwise, any Content derived from the Site to either a foreign national or a foreign destination in violation of such laws.

Our Rights

We may terminate your access, or suspend your access to all or part of the Site, without notice, for any conduct that we, in our sole discretion, believe is in violation of any applicable law or is harmful to the interests of another user or us in any way.

Because customer service is paramount to our business, we reserve the right to refuse to sell products to you if it reasonably appears to us that you intend to resell the products. In addition, we reserve the right to limit quantities of items purchased by each customer, cancel any order or part of an order, or refuse service to anyone for any reason. We also reserve the right to change the terms of any offer or promotion at any time without notice. We do NOT charge your credit card until after your order enters the shipping process. The contract for sale of goods between us and any customer is not entered into until we charge a valid credit card or otherwise accept payment for your order.

We do not endorse, monitor, or assume responsibility for any third-party content, products, services, privacy practices, or availability. Applicable Laws

We control the Site from our offices within the United States of America. Subject to applicable law, we reserve the right to suspend or deny, in our sole discretion, your access to all or any portion of the Site with or without notice. You agree that any termination of your access to the Site may be effected without prior notice, and acknowledge and agree that we may immediately deactivate or delete your account and all related information and files in your account and bar any further access to such files or the Site. Further, you agree that we shall not be liable to you or any third-party for any termination of your access to the Site.

Sales tax will be added and collected on your order based off the order's shipping address.

AI Policy

Our Site may offer AI features, including features that enable you to visualize fabric options on images you upload. All AI features are provided on an “as is” and “as available” basis and may generate automated outputs that are incomplete, inaccurate or unsuitable for your intended use. You agree not to rely solely on AI-generated content for decisions with legal, financial or material consequences, including as the reason for placing an order on our Site. OnlineFabricStore/Osgood Textile Company, Inc. disclaim all responsibility and liability for actions taken on AI outputs to the maximum extent permitted by law.

By uploading content (including images) to use AI features, you grant OnlineFabricStore/Osgood Textile Company, Inc. (and their licensors) a non-exclusive, royalty-free, and worldwide license to use, reproduce, and digitally modify your original content through the Gemini Flash AI API for the purpose of generating a derivative work. You acknowledge and agree that the resulting AI output is a machine-generated modification of your original image, synthesized using proprietary application assets. You represent that you possess all necessary rights and consents for the uploaded content and that such content does not infringe upon any third-party intellectual property or privacy rights. You agree to use our AI features solely for the purposes for which they are offered, and for personal reference use only. We reserve the right to refuse or reject any Content you upload for any reason. For purposes of digital authenticity and transparency, you agree that all modified outputs shall be permanently embedded with a visible AI watermark and indelible EXIF metadata which you are strictly prohibited from removing, obscuring, or altering.   We disclaim all liability regarding the aesthetic or technical accuracy of the AI-modified output or results.

• Data Collection & Processing We collect the images you upload and transmit them to Google’s Gemini Flash AI infrastructure to perform the requested modifications. This process involves the temporary storage and analysis of your image data to facilitate AI synthesis.
• Metadata & Transparency To maintain a record of AI-generated content, we generate and store metadata associated with your session, including the specific AI prompts and a unique Digital Image GUID (DigImageGUID). This information is embedded directly into the output file's EXIF headers to ensure the image is identifiable as a machine-modified work.
• Third-Party Sharing Your images are shared with Google (as the AI provider) solely for processing. We do not sell your personal images to third parties or use your uploaded content for any purpose other than providing the modification service.
• Contact Information For inquiries regarding your data or to request manual deletion, please contact help@onlinefabricstore.com.

You acknowledge that uploaded content may be processed, transmitted, analyzed, and temporarily stored by third-party AI providers as described in our Privacy Policy. We may also create de-identified or aggregated data derived from AI usage for lawful business purposes.

Data Processing and Security

Your use of the Site is subject to our Privacy Policy. While we implement reasonable safeguards, you acknowledge that no system is completely secure and that we are  not responsible for unauthorized access, hacking, data loss, service interruptions, or security incidents beyond our reasonable control, except as required by law.

Miscellaneous

These Terms of Use constitute the entire agreement between us (you and us) and govern the use of the Site. Our failure to exercise or enforce any right or provision of the Terms of Use shall not constitute a waiver of such right or provision. If any provision of the Terms of Use is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms of Use remain in full force and effect.
